Subsidiary is an enterprise with the sole founder, which is another company, ie the company, depending on the other companies. The legal form of management "subsidiary" means a specific nature of the relationship between the founder and the subsidiary property liability regime for the obligations of the subsidiary, the procedure for creation, reorganization, liquidation, management, distribution of profits, possible sources of funding, etc. Commercial Code also regulates that in cases of the existence of simple and / or decisive dependence on another enterprise, the company is a subsidiary.

The simple relationship between associated enterprises arises if one of them has the ability to block decisions to others (affiliates) to be taken in accordance with the law and/or the constituent documents of the enterprise by a qualified majority. 
Decisive dependence between associated enterprises arises when the relationships are established between the enterprises by the dominant participation of the controlling companies in the share capital and / or the general meeting or other management bodies of another (subsidiary) companies, in particular the possession of a controlling stake. Relationships of decisive dependence may be established only with the consent of the relevant bodies of the Antimonopoly Committee of Ukraine.

Subsidiary is able to incorporate branches, representative offices and those, in turn, will be considered as subsidiaries of the primary parent company, etc. Such a structure may be referred to as a simple holding, although according to the legislation of Ukraine, the holding – this is still a public joint stock company, which owns, uses and disposes of holding corporate stakes (shares) of two or more corporate enterprises. The most famous with huge  number of subsidiary companies is Google.

Subsidiaries in Ukraine, particularly in Odessa and Kyiv region, are registered in 90% of cases by foreign companies, but it does not mean that the founders of these foreign companies are foreigners. All prerogative is that it is the safest way of investment and performing business in any country.

The procedure of registration of subsidiary:

The first step for the registration of the subsidiary is to create a business plan. 

The second step. The convening of a constituent assembly of the founders in the parent company, which will establish a subsidiary. On the constituent assembly is approved a business plan, the decision to establish a subsidiary claim objectives, charter, charter capital, governing body collective or sole executive body represented by the director of the company and requests the Executive authority or an authorized person to make the state registration of a subsidiary of the Executive body in the subsidiary will carry out its current leadership in the implementation of business activities of the subsidiary, as well as to report the highest business management body " the parent company. Note: The legal entity of enterprise with one founder can not establish a limited liability company, or other companies by sole founder (according to the Civil Code Article 141 § 2..). But this person is not prohibited to establish a subsidiary or a private enterprise or to establish a company with another physical person or legal entity.

The third step – is the procedure of state registration of the subsidiary.

The fourth step – is to register investments in Ukraine (if the parent company is outside the Ukraine and wants to reduce the size of the tax rates in making investments in the authorized capital of a subsidiary).

• Extract from the Unified State Register, confirming the status of a legal entity (current as of the date of registration subsidiaries).
• A copy of the applications or certificates confirming state registration.
• Copy of the statistics department.

For legal entity – non-resident of Ukraine (foreign companies)

All documents must be notarized, apostil and translated into the Ukrainian language:

• A document confirming the registration of the parent company abroad (Extract from the trade, bank or court Registry)
• Charter.
• The decision by authorities of the enterprise (the parent company) for the establishment of a subsidiary with a "..." name "..." the size of the authorized capital, empower one of the founders or directors of the parent company from the parent company to establish a subsidiary entity, or other organizational-legal form.

• The lease contract or other documents of title to the registered address of the subsidiary.
• List of activities according to "КВЕД" 2010.
