Private Enterprise (PE) – a business legal entity.

This company operates on the basis of the private property of individuals, citizens of Ukraine and stateless persons, foreigners, and a legal entity.

Private enterprise can be established by an unlimited number of individuals or a single legal entity. At the same time there are no restrictions on the territorial principle – the founders can be both residents and non-residents. One of the features of PE is that in the legislation there are no requirements to the authorized fund of such enterprise. Statutory fund may be even one hryvnia. Shares of participation of each founder private enterprise is not divisible, unless otherwise provided in the charter document. Public authorities, government and communal enterprises can not establish PE, since it is possible in the case of the LLC, FC, ALC and JSC.

And another very important difference from a limited liability company, general partnership, additional liability companies, private joint-stock company and a public company, a private enterprise can be registeres by one founder, which is prohibited in the above companies.

In case of bankruptcy of the founders of the private enterprises, as well as the founders of a limited liability company shall be responsible only to the private property of the enterprise or the company. The order of the activities of private enterprises is regulated by the Commercial Code.

As a distinctive feature of PE from other organizational and legal forms it is that PE's management structure isn't fixed at legislation and can be set up in accordance with the wishes of the founder (s). Private enterprise is managed in accordance with the constituent documents (Charter of the enterprise, the Memorandum).

Today, private enterprise is the simplest form of business legal entity.

Focus your attention on the fact that today in Ukraine there is no special law regulating the activities of private enterprises. In this connection, the PE in their activities are guided only by general provisions of the Civil and Commercial Codes of Ukraine.
