Additional Liability Company is a business entity founded by one or more physical or legal persons; statute capital is divided into parts, the size of which is determined by the charter. Members of the ALC jointly and severally bear an additional (subsidiary) liability for company's obligations with their property in the amount of which is set by the company charter and is equal to the part of participant's contribution.

In contrast to the limited liability companies , the participants of the additional liability company shall be liable also by own property in the event of insolvency of the company.

In case of bankruptcy of one of the members of the ALC, his responsibility is distributed among the remaining participants in proportion to their contributions to the company's capital. That means, in addition to contribution to the statute (share) capital, with failure of these sums to pay off debts to creditors, the participants pay with their own property in size equal to the part of participant's contribution to the statute capital. But there is a limit of liability of participants, which is provided in the incorporation documents.

In Ukraine, the registration of such companies is not popular and is usually applied in cases where the law requires to register the additional liability company for the implementation of specific economic activities.

Under the Civil Code of Ukraine, the person may be a member of only one additional liability company with a single founder.
