A foreign enterprise is an enterprise with an authorized capital, 100% of which is formed by foreign investments. The founders (owners) of such an enterprise are foreigners or legal entities (companies), & nbsp; registered outside of Ukraine. The form of ownership of an enterprise for the implementation of economic activities by foreigners in Ukraine can be any permitted for this type of activity, but in 99% of cases it is a limited liability company (LLC).
Enterprise with foreign investments is an enterprise (organization) in which foreign investment in the authorized capital, if any, is at least 10%. The founders of such an enterprise can be citizens of Ukraine or legal entities registered in Ukraine, but at least 10% of the authorized capital of the enterprise must belong to a foreigner or a foreign legal entity.

An enterprise acquires the status of an enterprise with foreign investment from the day the foreign investment is credited to its balance sheet.

Creation of a foreign enterprise in Ukraine and an enterprise with foreign investments (hereinafter referred to as FDI) provides not only the mandatory introduction of foreign investment, but also full compliance with the legislation that determines the conditions for investment activities in Ukraine.  p>

Relations arising in the course of investment activities by non-residents on the territory of Ukraine are regulated by the Laws of Ukraine, other legislative acts and regulations, as well as international treaties of Ukraine. If the rules established by any international treaty differ from Ukrainian ones, international norms apply.

Ukraine under the protection of investments means "... a set of organizational, technical and legal measures aimed at creating conditions that contribute to the preservation of investments, the achievement of the goal of making investments, the effective operation of objects of investment and reinvestment, the protection of the legitimate rights and interests of investors, including the right to receive profit (income) from investments... Protection of investments is provided by the legislation of Ukraine, as well as by international treaties of Ukraine".

The purpose of any investment, including foreign investment, is to make a profit (income) or achieve a social effect.

Non-residents (foreign citizens or legal entities) who decide to invest in business and other types of activities located on the territory of Ukraine act as subjects of investment activity (hereinafter referred to as foreign investors).

 objects of foreign investment activity understand any property, including fixed assets, working capital, securities, intellectual property, other property, property rights, investment in which is not prohibited by the legislation of Ukraine. Placing investments in such objects is an inalienable right of a foreign investor, protected by law.

Foreign investors investing in Ukraine are subject to the national regime of investment and other economic activities. Yet foreign investment has its own characteristics. In particular, the legislation clarifies the list of persons who may be foreign investors. These include:

• legal entities established in accordance with legislation other than Ukrainian;
• individuals - foreigners who do not have a permanent place of residence on the territory of Ukraine and are not limited in capacity;
• foreign states, international governmental and non-governmental organizations;
• other foreign subjects of investment activities recognized as such under the laws of Ukraine.

Foreign investors make investments in various forms, for example, creating new enterprises on the territory of Ukraine, acquiring full ownership of existing enterprises, any movable or immovable property, and other property rights. Also, foreign investors are allowed to carry out entrepreneurial and other economic activities on the basis of agreements with economic entities of Ukraine without creating a legal entity, i.e. joint activities.

The most favorite form of investment by foreign investors is their equity participation in enterprises created jointly with Ukrainian legal entities and individuals, or the acquisition of a share of operating enterprises by them.

FDI can be created and operate in any organizational and legal form provided for by the current legislation.

FDIs have the right to act as founders of subsidiaries, establish branches and representative offices on the territory Ukraine and beyond its borders in compliance with the requirements of the legislation of Ukraine and the legislation of the relevant states.

The law may define economic sectors or territories in which the total amount of participation of a foreign investor is established, as well as territories in which FDI activities are limited or prohibited based on considerations of ensuring the national security of Ukraine.

In accordance with the Law of Ukraine "On the regime of foreign investment" dated March 19, 1996, the constituent documents of FDI must contain the information provided for by the legislation of Ukraine for the relevant organizational and legal forms of enterprises, as well as information about the nationality of their founders (participants).

FDI has certain advantages (benefits) (subject to registration of foreign investment in the manner prescribed by law).

So, in particular, if property from outside the customs border of Ukraine (except for goods intended for sale and own consumption) is imported as a contribution of a foreign investor to the statutory fund of FDI, such property is subject to exemption from payment of import duties. During customs clearance, the FDI may defer the payment of import duty on the basis of a promissory note issued by the customs authority at the place of accreditation of the enterprise as a subject of foreign economic activity.

Another benefit (subject to investment registration) is the establishment of a special (preferential) regime for investment and other economic activities for projects implemented by individual business entities of Ukraine with the involvement of foreign investors within the framework of state programs for the development of priority sectors of the economy, social sphere and territories.

 IMPORTANT

Constituent documents of enterprises with foreign investments must contain information provided for by the legislation of Ukraine for the relevant organizational and legal forms of enterprises, as well as information about the nationality of their founders (participants).

Customs clearance of goods imported into Ukraine as a contribution of a foreign investor to the authorized capital of an enterprise with foreign investment is carried out as a matter of priority.
