An enterprise with foreign investment – an enterprise (organization) of any legal organizational form, established according to the legislation of Ukraine, foreign investment in the authorized capital of which, if any, is not less than 10 percent.

In Ukrainian law under the investment protection involves "... a set of organizational, technical and legal measures aimed at creating conditions that promote the preservation of investments, the goal of making the investment, efficient operation of facilities investment and reinvestment, protect the legitimate rights and interests of investors, including the right for-profit (income) from investments ... investment protection is provided by the legislation of Ukraine and international treaties of Ukraine."

The purpose of any investment, including foreign is profit (income) or achieving social effect.

Non-residents (foreign citizens or legal persons), who decided to invest in business facilities and/or other activities, located on the territory of Ukraine obtain the status of subjects of investment activity.

Foreign investment activity objects are any assets, including fixed assets, current assets, securities, intellectual values, other property, property rights, investment in which is not prohibited by the legislation of Ukraine. Placing investments in such objects is the inherent right of a foreign investor, protected by law.

On the foreign investors to invest in Ukraine, extends national treatment to investment and other economic activities. Yet foreign investment has its own characteristics. In particular, the law specifies a list of persons who may be foreign investors. These include:

• Legal entities established in accordance with other legislation (not Ukrainian),
• Individuals – foreigners who permanently reside on the territory of Ukraine and are not limited in civil capacity;
• Foreign states, international governmental and non-governmental organizations;
• Other foreign subjects of investment activity recognized as such by the legislation of Ukraine.

Foreign investors are investing in a variety of forms, for example, creating in Ukraine the new enterprises, acquiring full ownership of already existing enterprises, any movable or immovable property and other property rights. Also, foreign investors are allowed to engage in entrepreneurial and other economic activities on the basis of contracts with business entities of Ukraine without creating a legal entity, i.e. joint activities.

The most preferred form of foreign investors is to believe their investments equity participation in enterprises established jointly with Ukrainian legal entities and physical persons, or purchase the share of working enterprises.

Investors can create and operate in any organizational-legal form required by applicable law.

Investors have the right to be a founder of subsidiaries, branches and representative bodies in Ukraine and/or abroad in compliance with the Ukrainian legislation and the legislation of other States.

There may be restrictions on investments defined by the Law or the management area, which set the overall size of the foreign investor, as well as areas in which the activities of investors are prohibited for reasons of national security of Ukraine.

In accordance with the Law of Ukraine "On Foreign Investment" from 19.03.1996., Investors founding documents should contain the information required by the legislation of Ukraine for the relevant organizational and legal forms of companies, as well as information about the state of their founders (participants).

Investments have certain advantages (benefits) (subject to registration of foreign investments in the manner prescribed by law).

In particular, if the contribution of the foreign investor to the charter fund of Investment company import assets from outside the customs border of Ukraine (except for goods for sale and self consumption), such property shall be exempt from payment of import duty. When customs clearance of investment company may delay payment of the import duty on the basis of a promissory note issued by the customs authority at the place of accreditation of the enterprise as the subject of foreign trade.

Another privilege (subject to investment registration) can be called the establishment of a special (preferential) treatment of investment and other economic activities for the projects undertaken by individual business entities of Ukraine with the participation of foreign investors in the framework of the state program of development of priority sectors of the economy, social sphere and territories.

 CAUTIONS AND NOTES (IMPORTANT)

Constituent documents of enterprises with foreign investments shall contain іnformation required by the legislation of Ukraine for the relevant organizational and legal forms of companies, as well as information about the state of their founders (participants). 
Customs clearance of goods imported into Ukraine as a contribution of the foreign investor to the charter fund of the enterprise with foreign investments is carried out on a priority basis.
